CAPITALIZATION
The following table sets forth our cash and cash equivalents and
capitalization as of December 31, 2005, (1) on an
actual basis, (2) on an as adjusted basis giving effect to
the sale of our convertible subordinated notes due 2026 and (3) on an as
adjusted basis giving effect to the sale of these notes and assuming
the repurchase of all of our outstanding $172.5 million principal amount of 4.0% convertible
subordinated notes through a tender offer. The following table
assumes the initial purchasers do not exercise their option to
purchase up to an additional $18.75 million aggregate
